1. About these terms

These Terms of Service set out the basis on which Bears N Ideas provides product engineering, AI implementation, AI automation, consultation, and related services. They are currently being finalised. The summary below describes the principles we already work by, and the full document will replace it once published.

By engaging Bears N Ideas, you agree to the terms recorded in your signed proposal or statement of work, read together with the published terms once available.

2. Scope of work

Every engagement is defined by a written proposal or statement of work. That document records the deliverables, timeline, fees, and assumptions for the project. Work outside that defined scope is treated as a separate request and is quoted before it begins.

• The proposal is the single source of truth for what is being delivered.
• Changes to scope are agreed in writing before any additional work starts.
• Estimates are made in good faith and refined as a project progresses.

3. Fees and payment

Fees, payment milestones, and currency are set out in each proposal. Invoices are payable within the period stated on the invoice. Work may be paused if invoices remain unpaid beyond that period.

Taxes

Fees are exclusive of applicable taxes unless stated otherwise. Any taxes, duties, or levies are added to invoices where required by law.

4. Client responsibilities

Timely delivery depends on timely input. You agree to provide the access, information, approvals, and feedback that a project reasonably requires, within the timelines agreed in the proposal.

5. Intellectual property

On full payment, ownership of the custom deliverables created for your project transfers to you. Bears N Ideas retains ownership of pre-existing tools, libraries, and general know-how used to build those deliverables, and grants you a licence to use them as part of the delivered work.

6. Confidentiality

Both parties agree to protect non-public information shared during an engagement and to use it only for the purpose of delivering the project. This obligation continues after the engagement ends.

7. Warranties and liability

Bears N Ideas delivers work with reasonable skill and care. To the extent permitted by law, Bears N Ideas is not liable for indirect or consequential losses, and total liability for any engagement is limited to the fees paid for that engagement.

8. Term and termination

Either party may end an engagement with written notice as set out in the proposal. On termination, you pay for work completed up to the termination date, and each party returns or deletes the other's confidential information on request.

9. Changes to these terms

We may update these terms as our services evolve. The current version always applies to new engagements, and material changes are communicated to active clients.
